Counter Materia Combinations - FF7 Guide
The Counter Materia uses the paired Materia when damage is inflicted on you instead of just countering with a regular melee attack. This doesn't work with all Materia but it does work with most Command Materia so it's worth experimenting with.
You don't really need to worry about leveling this Materia up, I don't think a higher level Materia increases the odds of you countering. Also if you go to grind GP in the Gold Saucer chances are you'll win a few of these during your time spent there. If not you'll get one in the Northern Crater.

Gold Saucer - Chocobo Square: Won from Chocobo Racing
Northern Crater: Found in the final dungeon of the game, Northern Crater
Useful Counter Materia Combinations:
Counter + Deathblow: You'll counter an enemies attack by using Deathblow
Counter + Steal: You'll counter an enemies attack by using Steal
Counter + Morph: You'll counter an enemies attack by using Morph
Counter + Mime: You'll counter an enemies attack by using the last move used. Not really the best combination but it definitely makes things interesting
